Aaraam LLC (“Aaraam,” “we,” “us,” or “our”) values the creativity and contributions of our customers, affiliates, influencers, and community. This User-Generated Content Agreement (“Agreement”) sets out the terms under which we may use content submitted, posted, or otherwise provided by individuals in connection with Aaraam products, services, brand, or events. It also defines your rights and responsibilities when submitting content and explains how we protect our brand and comply with applicable laws. By submitting or associating any content with Aaraam, you agree to be bound by this Agreement, our Terms & Conditions, and our Privacy Policy. If you do not agree, do not submit content or associate it with our brand.

1.      Scope

1.1.    This Agreement applies to any text, images, videos, audio, reviews, testimonials, social media posts, or other materials (“User-Generated Content” or “UGC”) you submit directly to Aaraam or indirectly via third-party platforms where you have tagged, mentioned, or otherwise associated the content with Aaraam or our products.

1.2.    This Agreement covers all UGC regardless of submission method, including but not limited to email, website forms, direct uploads, event participation, and public posts on social media platforms.

2.     License Grant

2.1.    2.1 You grant Aaraam a perpetual, worldwide, irrevocable, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, publicly display, broadcast, and otherwise exploit your UGC, in whole or in part, in any media or format now known or later developed, for any lawful purpose.

2.2.    2.2 This license includes, without limitation, the right to use your UGC for advertising, marketing, promotional, commercial, internal, or educational purposes, without obligation to notify you or provide additional compensation.

3.     Representations and Warranties

3.1.    You represent and warrant that:

3.1.1. You are at least eighteen (18) years old and legally capable of entering into this Agreement.

3.1.2. You own or control all rights in and to your UGC and have the authority to grant the license in Section 2 without infringing, misappropriating, or violating any third-party rights.

3.1.3. Your UGC is truthful, accurate to the best of your knowledge, and not misleading.

3.1.4. Your UGC complies with all applicable laws, regulations, and industry guidelines, including but not limited to the Federal Trade Commission (FTC) Endorsement Guides.

3.1.5. Any claims in your UGC about Aaraam products are based on your honest opinions, findings, or experiences and are not false or deceptive.

3.1.6. You have disclosed any material connection to Aaraam (such as affiliate status, influencer relationship, or receipt of free product) clearly and conspicuously in accordance with FTC requirements.

4.     Prohibited Content

4.1.    You agree that your UGC will not:

4.1.1. Contain content that is unlawful, defamatory, obscene, pornographic, harassing, threatening, hateful, discriminatory, or otherwise inappropriate.

4.1.2. Contain personal information about others without their consent.

4.1.3. Make unsubstantiated health claims or statements inconsistent with Aaraam’s approved product descriptions or marketing guidelines.

4.1.4. Depict unsafe use of Aaraam products or encourage misuse.

4.1.5. Infringe, misappropriate, or violate any third-party intellectual property or other rights.

5.     No Obligation to Use

5.1.    Aaraam is under no obligation to use, display, or feature any UGC submitted and may remove or disable it at any time, at our sole discretion.

6.     No Medical Advice Disclaimer

6.1.    All UGC, including reviews and testimonials, is provided for informational purposes only and does not constitute medical advice, diagnosis, or treatment.

6.2.    UGC should not be relied upon as a substitute for professional medical advice. Always consult with a qualified healthcare provider before starting any supplement, wellness program, or lifestyle change.

7.     Indemnification

7.1.    You agree to indemnify, defend, and hold harmless Aaraam, its affiliates, officers, directors, employees, agents, successors, and assigns from and against any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from or related to:

7.1.1. Your UGC;

7.1.2. Your breach of this Agreement; or

7.1.3. Any violation of applicable law or third-party rights.

8.     Limitation of Liability

8.1.    To the fullest extent permitted by law, Aaraam shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to UGC, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory.

9.     Accessibility

9.1.    This Policy is available in alternative formats upon request to accommodate disabilities.

10.   Changes; Annual Review

10.1. We review this Policy at least annually and may update it from time to time. The “Last Updated” date reflects the effective date of the current version. Material changes will be posted on the Site.

11.   Governing Law

11.1. This policy is governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict‑of‑law principles.
